Terms & Conditions for Clinics

1. Introduction

These Terms & Conditions (“Terms”) govern the use of the ClinicsPlus platform, including the clinic dashboard, web interface, mobile applications, and related services (collectively, the “Service”).

By registering a clinic, accessing the dashboard, or using any part of the ClinicsPlus platform, you (“Clinic”) agree to these Terms.

If you do not agree to these Terms, you must discontinue using the Service.


2. Definitions

  • “Clinic” — any medical institution, hospital, diagnostic center, aesthetic clinic, laboratory, dental clinic, mental health or specialty practice using ClinicsPlus.
  • “Platform” or “Service” — ClinicsPlus mobile applications, websites, admin dashboard, APIs, and integrations.
  • “Patient” — individual user who books appointments through ClinicsPlus.
  • “ApexNova” / “We” — ApexNova Digital LLC, owner and operator of ClinicsPlus.
  • “Appointment” — booking created by a patient and delivered to the clinic through ClinicsPlus.

3. Nature of the Service

3.1 Not a medical provider

ClinicsPlus does not provide medical services.
All medical consultations, procedures, diagnoses, pricing, and policies are the responsibility of the Clinic.

3.2 No brokerage

ClinicsPlus is not a broker, agent, or intermediary.
We do not:
• set clinic prices
• receive medical fees
• take per-patient commission
• participate in medical decisions
Clinics pay only subscription fees (if applicable).


4. Clinic Responsibilities

4.1 Provide accurate information

Clinic is solely responsible for the accuracy of:
• prices, service descriptions, preparation notes
• doctor availability and schedules
• addresses and contact details
• cancellation/no-show policies

4.2 Keep data up to date

If schedules or prices change, the Clinic must update them promptly.

4.3 Handle appointments professionally

Clinic must:
• respond to bookings
• honor confirmed appointments
• follow its own cancellation and no-show rules

4.4 Comply with medical regulations

Clinic is responsible for:
• licenses and permits
• clinical quality and safety
• data protection under local law

ApexNova is not responsible for any clinical or medical outcomes.


5. ApexNova Responsibilities

We provide:
• platform access
• booking tools
• technical support
• hosting and infrastructure
• SMS-OTP verification
• reminders and notifications
• multilingual interfaces

We do not guarantee:
• patient attendance
• accuracy of information submitted by users
• clinic revenue
• performance of third-party services (SMS, hosting, APIs)


6. Subscription & Payments

6.1 Free and paid plans — ClinicsPlus may offer free trial, monthly/annual subscriptions, promotional pricing.
6.2 No per-patient commissions.
6.3 Invoices may be issued by ApexNova or its processors.
6.4 Cancellation anytime (effective at end of billing period).
6.5 Refunds — see separate Refund Policy.


7. Bookings & Notifications

7.1 SMS-OTP verification required.
7.2 Notifications include dashboard, Telegram, optional email.
Availability depends on external providers.


8. Ratings & Reviews

ClinicsPlus may display:
• service-level ratings
• patient reviews
• feedback summaries

ApexNova may remove reviews that violate community standards.
Clinic may request removal of clearly fraudulent content.


9. Data Protection

9.1 Data usage — We collect and process clinic data to enable bookings, display services, and send notifications.
9.2 Confidentiality — We do not sell clinic data.
9.3 International transfer — Some data may be processed outside the Clinic's country.
9.4 DPA available upon request.


10. Intellectual Property

All software, trademarks, and platform features are property of ApexNova Digital LLC.
License is non-exclusive and revocable.
Clinic may not copy, modify, reverse engineer, resell, or redistribute the platform.


11. Limitation of Liability

ApexNova is not liable for clinic errors, medical outcomes, incorrect information, SMS/server downtime, lost profits, or indirect damages.
If liability applies, it is limited to the amount paid by the Clinic in the last 3 months.


12. Termination

We may terminate access if:
• false information is provided
• fraud detected
• policy violations
• patient data misuse
• unpaid subscription

Clinic may terminate anytime.


13. Governing Law

Wyoming state law + U.S. federal law.
Disputes are resolved in Wyoming courts.
